Husch Blackwell represented Colorado-based LivWell Holdings, Inc. in its closed sale to PharmaCann Inc., the largest privately held, vertically integrated cannabis company in the United States.

Founded in 2009, LivWell grew from a single location into one of the most prominent marijuana businesses in Colorado and Michigan, with operations spanning cultivation, manufacturing, research and development, and retail. Upon completion of the merger, the resulting business would operate approximately 60 dispensaries and 11 cultivation and production facilities across eight states. The closing of the transaction is subject to customary closing conditions, including, among others, the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act and state and municipal level regulatory approvals.

The Husch Blackwell team was led by Steve Levine and Marshall Custer and included Yuefan Wang, Alyssa Samuel, Megan Herr, Lindy Martinez, Jason Reschly, Wendy Arends, Kris Kappel, Molly Hobbs, Andrew Hodgson, and Rachel Scott.
