Empire District Electric Company Transaction, Announced in February 2016, Successfully Completed

Husch Blackwell represented Algonquin Power & Utilities Corp. (APUC) of Oakville, Ontario, and its Liberty Utilities subsidiaries in their $2.3 billion acquisition of The Empire District Electric Company of Joplin, Missouri. The transaction closed effective January 1, 2017, at which point Empire became a wholly-owned subsidiary of Liberty Utilities and ceased being a publicly-held corporation.

The acquisition expands APUC’s utility operations in the United States to include 2,200 employees serving over 782,000 electric, gas and water customers within its regulated utility business. APUC’s portfolio of power generating facilities contains both regulated and non-regulated power facilities with a total capacity of over 2,500 megawatts.

The Husch Blackwell team was led by Jim Goettsch, Brogan Sullivan and Craig Kovarik, and included Jordan Bergkamp, Drew Bergman, Mike Eason, Chauncey Lane, Patricia Martin and Rebecca Taylor.
