Husch Blackwell represented Sonaca Group as the company’s Missouri M&A counsel in Sonaca’s acquisition of LMI Aerospace, a publicly-traded, St. Louis-based aerospace company. Under the merger agreement LMI shareholders will receive $14 per share in an all-cash transaction. The company will operate as LMI Aerospace – a Member of Sonaca Group, and its headquarters will remain in St. Louis. The deal is expected to close mid-2017, subject to LMI shareholder approval as well as certain regulatory approvals and other customary closing conditions.
Sonaca Group is a Belgium-based company active in the development, manufacturing and assembly of advanced structures for the civil and military aviation industry and aerospace markets and is also a provider of engineering services, large sheet metal elements, wing panels, composite structures and machined components.
Husch Blackwell served as co-counsel to Sonaca Group on the transaction with Arnold & Porter Kaye Scholer.
