Erik integrates experience drawn from private practice and his general counsel role at private fund companies to provide deep insight to his clients.

Erik provides end-to-end legal advice to investment management companies and investment managers, guiding them through virtually all legal and regulatory issues that impact day-to-day operations, as well as larger issues that bear upon overall strategy.

He routinely assists clients with fund formation, handling all drafting and documentation and helping clients work through complex issues related to formation. For established funds actively deploying capital, Erik negotiates and drafts side letters and closing investment documents, manages the closing process, and reviews and responds to all compliance and operational securities issues related to investment funds, investment advisors and broker-dealers.

Erik’s experience covers a wide array of fund types and investment strategies, including private equity, venture capital and real estate funds, and he is frequently called upon to analyze investment funds for pension fund and family office clients.

In addition to his experience in private practice, Erik has significant industry experience, serving as assistant general counsel at private fund companies, where he worked with closed-end investment funds for company capital raising and provided advice regarding investment issues and offerings. He also advised company leadership regarding risk management and relationships with outside parties, including subsidiary investment advisors and mutual funds.

Experience

Fund Formation

  • Structured $500 million private equity fund focused on the acquisition of farmland and farm/industrial land in the Western and Midwestern United States.
  • Structured $250 million private equity fund focused on Midwestern United States company acquisitions.
  • Structured $20 million venture capital fund focused on environmental technology companies in the United States.
  • Structured $200 million real estate fund focused on Indiana/Ohio/Illinois industrial real estate acquisition and operation.
  • Assisted with structuring of a variety of smaller venture and real estate funds focused on Midwestern venture companies and real estate, respectively.
  • Handled all closing and side letter transaction issues for fund that were formed and assisted with compliance and operational issues related to fund structure, closing and operation.
  • Structured and drafted documents for $500 million private placement of debt for West Coast entertainment center.

Alternative Investments

  • Reviewed and negotiated partnership, investment documents and side letter for dozens (typically about four to eight large investments per month for different limited partner investment firms) of venture, private equity, real estate, hedge and cryptocurrency/blockchain investment funds for family offices and large state pension funds. Investment size ranged from $5 million to $250 million (or more) each.
  • Counseled investment firm clients on nuances of investment documents and drafted side letters in response to specific issues and regulatory concerns.

Regulatory Work

  • Singularly handle all regulatory, compliance and operation issues related to private securities, funds and investments for all firm clients (33, 34 and both 40 Acts).
  • Negotiate and review engagements for fund advisors and private equity clients for a variety of investment and operational needs.
  • Provide general counsel services to a firm clients given prior inhouse experience.

Erik W. Hansen has joined the firm as a partner in its virtual Link office and its Financial Services and Capital Markets team.

Outside the Office

Erik devotes most of his free time to his young son and daughter. The family enjoy spending time outside when the weather permits and aim to visit as many kid-oriented St. Louis attractions as possible.
