Overview

Teresa’s primary focus is commercial finance and business transactions for financial services clients.

She represents clients in connection with equipment financing, asset-based lending, cash flow financing, mezzanine financing and permanent loans, such as:

  • A $20 million finance lease transaction for drilling and other related equipment.
  • The acquisition of a $1.2 million portfolio of tractor leases.
  • The purchase of syndicated loans in the primary and secondary market for major commercial lenders.
  • Representation of client borrower in a $600 million credit facility from a syndicate of lenders.

Teresa has extensive experience representing all types of investors in mid-cap and large-cap syndications and smaller club transactions. She represents a diverse range of lenders, including national lenders, regional and community banks and commercial and consumer finance companies and also represents large corporate clients as borrowers.

  • Advised Algonquin Power & Utilities Corp. on forming $608 million joint venture with Abengoa, S.A., of Spain for international development and construction of clean energy and water infrastructure assets.
  • Represented major finance company in $20 million lease transaction for drilling and other related equipment.
  • Advised client in acquisition of a $1.2 million portfolio of tractor leases.
  • As key member of the firm's CARES Act resource team, advised clients on accessing COVID-19-driven financial assistance, including Paycheck Protection Program (PPP), Economic Injury Disaster Loans (EIDL) and Main Street Lending Program.
  • Regularly advises major commercial lenders in the purchase of syndicated loans in the primary and secondary market.
  • Represented client borrower in $600 million facility from syndicate of lenders.
  • Counseled a major commercial airline in a series of transactions involving the sale-leaseback of 39 Boeing 757 aircraft.
  • Represented Algonquin Power Co., the renewable power generation subsidiary of Toronto-based Algonquin Power & Utilities Corp., in an $888 million deal to acquire a 480-megawatt portfolio of four wind projects in the United States from Spain’s Gamesa Corporación Tecnológica S.A.
  • Represented a 50-year-old family business in Marshall, Mo., in connection with the financing of its $7 million sale to an employee stock ownership plan (ESOP).
  • Served as counsel to NUSO, an omnichannel provider of cloud communications and collaboration solutions, in negotiating strategic partnership with McCarthy Capital to accelerate growth.
