At Husch Blackwell, we’re a full-service firm with global clients—and that means offering global support. We know that many of our clients operate around the world, sourcing supplies and selling products overseas, employing an international workforce, and doing business with partners the world over. While our own offices are spread throughout the United States, we also provide seamless service to clients with international needs. Our international service model combines the leadership and extensive experience of our U.S.-based attorneys with the knowledge of local attorneys at firms “on the ground” where needed.

To ensure clients get the right local help, on time and on budget, we maintain working relationships with attorneys around the world in two ways. Our affiliations with global law firms Pinsent Masons and Gowling WLG allow us to serve clients' interests all over the world. At the same time, our membership in TerraLex, a select network of premier foreign law firms in more than 100 countries, ensures our clients have instant access to leading professionals everywhere.

This isn’t a matter of outsourcing international needs: we partner with our clients every step of the way, offering our own knowledge and experience while drawing on local resources as well. We continue to oversee due diligence for clients’ international transactions, and we translate foreign legal issues into concepts clients can readily understand. Our team members are well-versed in the differing legal philosophies underpinning various legal systems.

In addition, we routinely serve as U.S.-based counsel to companies overseas. We advise clients on export compliance, the Foreign Corrupt Practices Act (FCPA), the Patriot Act, mergers and acquisitions, distribution agreements, U.S. employment law, and other matters.

Representative Experience

  • Assisted with transfer of more than 25 properties associated with M&A transaction for Fortune 500 company, coordinating local counsel in foreign jurisdictions. The divestiture helped the client focus on maximizing the strength of its global cross-border payments platform and financial network.
  • Represented leading provider of recreational gear in a patent infringement lawsuit alleging infringement of two European patents and two European design patents in Germany. Filed invalidation proceedings with the European Patent Office, leading to all litigation and challenges being withdrawn.
  • Counseled a global financial reporting service on U.S. sanctions compliance in connection with a reporter’s pending trip to Iran to cover an extremely urgent assignment, which entailed advising on authorized types of travel under pre-existing general licenses for journalistic activities and also confirming what electronic devices the reporter could and could not take with them into Iran under applicable U.S. export controls.
  • Represented administrative agent in a €200 million revolving credit facility.
  • Represented administrative agent in a cross-border $200 million unsecured revolving credit facility.
  • Represented private company in a $125 million cross-border, syndicated ABL credit facility and term loan.
  • Negotiated acquisitions of joint ventures with foreign companies.
  • Established U.S. subsidiaries in foreign countries.
  • Established and terminated overseas dealerships.
  • Drafted technology and licensing agreements and protected intellectual property in foreign countries.
  • Negotiated supply agreements between U.S. companies and their foreign distributors.
  • Obtained recognition of U.S. judgments through comity or the initiation of fresh actions in foreign countries in order to effectuate recovery of the same.
  • Assisted financial institutions and companies with the service of process and compliance with Hague Convention provisions in regard to foreign litigation.
  • Assisted financial institutions and companies with responding to and defending the service of orders to produce documents and respond to interrogatories from foreign jurisdictions.
  • Assisted financial institutions and companies with the appointment of receivers and the recognition of receivers in foreign jurisdictions to recover secured or owned assets in conformity with client needs.
  • Acted as a gatekeeper for financial institutions and companies to coordinate and oversee litigation in foreign jurisdictions.
  • Assisted financial institutions and companies in the initiation of foreign litigation and the selection and supervision of overseas counsel in the foreign litigation in conformity with client needs.
  • Assisted financial institutions or companies in complying with U.S. legislation such as Trading with the Enemy Act and the Patriot Act.
  • Assisted clients in international finance and derivatives.
  • Guided clients in global offerings of securities.
  • Arbitrated international disputes under all major dispute systems (including the rules of the International Chamber of Commerce).
  • Negotiated and documented secured commercial loans in the United States by foreign financial institutions.

  • Supervised and coordinated a network of local foreign counsel for the registration and maintenance of our clients’ patents, trademarks, copyrights, and other intellectual property.
  • Handled immigration matters, including assisting in the entry of non-citizens into the United States and maintaining their non-immigrant status during temporary visits.
  • Advised clients on the corporate and tax structure for business operations in foreign countries in order to minimize worldwide taxes.
  • Assisted our clients in international trade (including Customs, Export, and Import Regulations and NAFTA).
